PREAMBLE

The Parties recognize that the accelerating pace of technological change, resource

development, infrastructure modernization, energy transition, environmental

challenges, and economic transformation requires unprecedented levels ofinternational cooperation am0ng universities, research institutions, engineering

organizations, industry leaders, investors, government entities, and develoPment

partners.

The parties further recognize that scientific knowledge, engineering expertise,

innovation capacity, investment capital, and institutional experience are often

dispersed across countries, sectors, and organizations. Meaningful progress

increasingly depends upon the ability to connect these capabilities through trusted

international collaboration.

To facilitate such cooperation, the Parties agree to establish, support, and participate

in the development of GeolVlechanics Next Consortium, an international

collaborative platform desigrred to connect scientific expertise, engineering

capabilities, resource development opportr-rnities, infrastructure initiatives, investment

partnerships, and innovation ecosystems across the United States, Ukraine, Europe,

and other partner countries.

GeoMechanics Next Consortium serves as a convening platform where knowledge,

expertise, technologies, resources, and strategic partnerships may be identified,

coordinated, and advanced through international cooperation. The Consortium seeks

to foster long-term collaboration through research initiatives, technical working groups,

workshops, conferences, educational programs, technology transfer activities, project

incubation, grant-funded initiatives, investment-supported projects, and

multidisciplinary partnerships.

The Parties share a common commitment to advancing scientific excellence,

engineering innovation, responsible resource development, workforce advancement,

infrastructure modernization, and sustainable economic growth through international

cooperation.

The Parties acknowledge that future parlicipation in GeoMechanics Next

Consortium may include universities, research institutions, engineering

organizations, professional associations, industry stakeholders, investors,

foundations, government agencies, development organizations, and subject-matter

experts from multiple countries.

The Parties further acknowledge that future cooperation with Dnipro University of

Technology may involve various faculties, departments, institutes, laboratories,

research centers, academic units, faculty members, researchers, engineers, students,

and experts depending upon the scope and requirements of specific initiatives.

This Memorandum is intended to support cooperation with Dnipro University of

Technology as an institution and is not limited to any single department, faculty,

institute, Iaboratory, research center, or academic unit.

1. PURPOSE

This Memorandum of Understanding establishes a framework for cooperation among

the Parties and supports the development of GeoMechanics Next Consortium as an

international platform for collaboration, innovation, project development, and strategic

partnership building.
